Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and The Vault Studios, Inc. (“Hotset,” “we,” “us”) governing your access to and use of the Hotset production-management software and related websites and services (the “Service”). By creating an account, starting a trial, or using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you represent that you are authorized to bind that company.

1. The Service

Hotset provides cloud-based tools for planning and running film, television, and commercial productions — including scripts, estimates, scheduling, crew and casting management, agreements, call sheets, and wrap documentation. We may add, change, or remove features over time.

2. Accounts & eligibility

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account and for the conduct of users you invite to your organization. You must be at least 18 years old and able to form a binding contract.

3. Free trial

We may offer a free trial (currently 7 days). A valid payment method is required to begin the trial. We will not charge you during the trial. Unless you cancel before the trial ends, your paid subscription begins automatically and your payment method is charged the then-current price. Certain features (including file exports and sending documents to third parties) may be unavailable during the trial and unlock when your paid subscription begins.

4. Subscriptions & billing

The Service is offered on a recurring subscription. The base plan is $199/month and includes two user logins; additional logins are $49/month each. Prices are in U.S. dollars and exclusive of taxes. Subscriptions renew automatically each billing period until cancelled. You authorize us and our payment processor (Stripe) to charge your payment method for all fees. 5. Acceptable use

You agree not to misuse the Service, including by: violating any law or third-party right; uploading unlawful, infringing, or malicious content; attempting to gain unauthorized access to the Service or other organizations’ data; reverse engineering or reselling the Service; or interfering with its operation. We may suspend or terminate accounts that violate these Terms.

6. Your content

You retain ownership of the data, documents, and materials you upload (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to provide the Service. You are responsible for having the rights to Your Content and for its accuracy and legality. We do not claim ownership of your productions.

7. Intellectual property

The Service, including its software, design, and trademarks (including “Hotset”), is owned by The Vault Studios, Inc. and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; no other rights are granted.

8. Third-party services

The Service relies on third parties (including Stripe for payments and cloud infrastructure and email providers). Your use of those services may be subject to their terms, and we are not responsible for their acts or omissions.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or secure. You are responsible for maintaining your own backups of critical data.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOTSET WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms or to protect the Service. On termination, your right to use the Service ends; we may delete Your Content after a reasonable period.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or in-app). Your continued use after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Florida, and you consent to their jurisdiction.
